Terms of Service

These Terms of Service ("Terms") govern your use of DPP-Tool ("the Service"), provided by METIS SAS ("we", "us"). By creating an account or using the Service, you agree to these Terms.
DPP-Tool is intended for businesses and professionals. Where a provision applies only to consumers, it says so.
1. Service Description
DPP-Tool is a SaaS platform that enables users to generate Digital Product Passports (DPP) compliant with the EU Ecodesign for Sustainable Products Regulation (ESPR) 2024/1781. The Service includes passport generation, QR code creation, public passport pages, CSV import, and API access (depending on your plan).
2. Account Registration
- You must provide accurate and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You must be at least 18 years old or have legal authority to enter into these Terms on behalf of your organization.
- One person or organization may not maintain more than one free account.
- An account may invite team members. The account owner remains responsible for their actions and may revoke their access at any time.
3. Plans and Pricing
- Free plan: limited to 5 products, no credit card required.
- Paid plans: Starter, Pro, Business, Enterprise — billed monthly or annually.
- Prices are in EUR and include VAT. VAT is calculated automatically from your billing country. If you are a business in the EU, you may enter your VAT number at checkout.
- You may upgrade or downgrade your plan at any time. Changes take effect on the next billing cycle.
- We reserve the right to modify pricing with 30 days' notice to existing subscribers. A price change never applies to a period you have already paid for. If you do not accept it, you may cancel before the renewal date.
4. Payment, Billing and Renewal
- Payments are processed securely by Stripe. We never receive or store your card details.
- Paid plans are billed in advance and renew automatically for the same period — monthly or annually — until cancelled.
- Some documents are sold as a single payment rather than a subscription. They are delivered immediately and are never renewed.
- An invoice is issued for every payment and is available from the billing portal linked in your dashboard.
5. Trials and Evaluations
- We may grant a time-limited evaluation of a paid plan. It is granted at our discretion, requires no payment and no card.
- An evaluation ends automatically on its end date, at which point the account returns to its previous plan. It never converts into a paid subscription on its own, and you are never charged when it ends.
- Passports created during an evaluation remain published when it ends.
6. Cancellation
You may cancel at any time, yourself, without giving a reason and without contacting us. There are two distinct actions, and the difference matters:
- Cancelling the subscription — from the billing portal linked in your dashboard. Your plan stays fully active until the end of the period you have already paid for, and is not renewed. Your account then returns to the free plan and stays open, with your published passports online.
- Closing the account — from Dashboard → Settings. This takes effect immediately and cannot be undone. See section 11.
Except where section 7 applies, periods already paid for are not refunded and are not pro-rated, including when an account is closed before the end of its period. If you simply wish to stop paying, cancel the subscription rather than close the account: you keep what you have paid for until its term.
7. Right of Withdrawal (consumers only)
If you are a consumer, you have 14 days from subscribing to withdraw, in accordance with Article L.221-18 of the French Consumer Code.
Because access to the Service is provided immediately upon payment, you expressly request that performance begins before the end of that period and acknowledge that your right of withdrawal is lost once the Service has been fully performed, in accordance with Article L.221-28. Where a subscription has only been used in part, we refund the unused portion.
This section does not apply to businesses and professionals.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Submit false or misleading product data
- Attempt to circumvent usage limits or security measures
- Reverse engineer, decompile, or create derivative works of the Service
- Use automated systems to access the Service beyond the provided API
- Resell access to the Service without written authorization
9. Data Ownership
- You retain ownership of all product data you enter into the Service.
- By generating a public passport, you grant us a license to display the passport data on public pages.
- We do not sell your product or passport data. We do not reuse or process it beyond what is necessary to provide the Service: it is never used to train models, and never shared for advertising.
- You can export your passports at any time (CSV, JSON, XLSX), together with their version history and integrity fingerprint.
- You can delete individual products and passports at any time from your dashboard. To delete your entire account and all the data attached to it, close it from your dashboard settings (see section 11).
10. Compliance Disclaimer
Important: DPP-Tool is a compliance assistance tool. While we strive to keep our templates aligned with ESPR requirements, we do not guarantee regulatory compliance. Passports generated should be reviewed by a qualified regulatory advisor before being used for official compliance purposes. Responsibility for the accuracy of a declaration, and for compliance with any applicable regulation, remains yours as the economic operator. We are not liable for regulatory decisions based solely on our tool.
11. Account Closure and Termination
- You may close your account at any time, yourself, from Dashboard → Settings. We ask for your password and a typed confirmation, because the operation cannot be undone.
- Closure takes effect immediately: your published passports are taken offline and their public pages stop resolving, your API keys and webhooks are deactivated, your team members lose access, and any active subscription is cancelled with our payment provider — you are not charged again, and the remainder of the current period is not refunded.
- Your data is then permanently deleted 30 days after closure — products, passports, version history and uploaded documents, on our servers and in our backups. After that date it cannot be recovered. Export what you need before you close your account.
- The 30-day delay reflects how long our backups retain history. We state the honest figure rather than a shorter one we could not honour.
- If you have asked not to receive our emails, that request is kept even after deletion. Removing it would start emailing you again, which is the opposite of what you asked.
- We may suspend or terminate accounts that fail to pay, that violate these Terms, or that use the Service unlawfully. Except in cases of serious breach, we will give you notice and a reasonable opportunity to remedy the situation first.
- You can also ask us to close your account, or to erase your personal data, by writing to [email protected].
12. Two-Factor Authentication
Two-factor authentication is optional and is enabled by you, from your account settings. When you enable it, we provide ten single-use recovery codes. These codes are shown once and are not recoverable: keeping them is your responsibility.
We are technically unable to disable two-factor authentication on your account, and we will not do so on request. This is deliberate: it means no one can obtain access to your account by contacting us.
If you lose both your authentication device and your recovery codes, you may start a self-service unlock from the sign-in page. It requires your account password, confirmation through a link sent to your registered email address, and a 72-hour waiting period, during which the request can be cancelled in one click from any of the emails we send about it. Access to your account may therefore be unavailable for up to 72 hours.
Digital product passports you have already published remain publicly accessible throughout, and are not affected by a locked account.
13. Service Availability and Passport Continuity
- We aim for 99.5% uptime but do not guarantee uninterrupted service on the Free, Starter, Pro or Business plans. A written service level agreement is available on the Enterprise plan and, where one has been signed, prevails over this section.
- Scheduled maintenance will be communicated in advance when possible.
- We reserve the right to modify or discontinue features with reasonable notice.
- Downgrading or cancelling a paid plan never deletes, unpublishes or alters a passport you have already published. It only removes optional features (for example custom branding). Published passports are taken offline only when your account is closed (see section 11).
- If we discontinue the Service, we will give you at least 30 days' notice by email before any published passport is taken offline, so that you can export your data and move it elsewhere.
14. Limitation of Liability
To the maximum extent permitted by law, METIS SAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability is limited to the amounts you paid in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for gross negligence, wilful misconduct or personal injury.
15. Changes to these Terms
We may amend these Terms. For a change that materially affects your rights, we will notify subscribers by email at least 30 days before it takes effect. If you do not accept it, you may cancel before that date. Continuing to use the Service after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by French law. Before any legal action, you may contact us at [email protected] to seek an amicable settlement.
Consumers may use the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr, and may bring proceedings before the courts of their place of residence. For business customers, any dispute shall be subject to the exclusive jurisdiction of the courts of Aix-en-Provence, France.
